Bylaws (v2)

1. Council & TSC

  • Concord Council: 7 seats, 1-year terms, staggered; oversees ethics, licensing, anti-capture.
  • TSC: 5–11 maintainers; owns technical roadmap, releases, reference implementations.
  • Quorum: Council (≥5), TSC (≥50% + 1). Conflict resolution: joint session; if tie → defer to Charter invariants.

2. Elections & Removal

  • Anonymous STV vote; eligibility: ≥3 merged PRs or recognized adopter.
  • Removal: ⅔ Council for ethics breach; ⅔ TSC for technical negligence.

3. Decision Classes

  • Kernel changes: TSC supermajority (⅔) + Council veto window (7 days).
  • License or policy changes: Council supermajority (⅔) + public RFC.
  • Releases: TSC simple majority + signed attestation.

4. Transparency

  • Minutes, RFCs, and release artifacts posted in docs/02-governance and releases page.
