Concord Council¶
The Concord Council is the ethical and policy governance body of the Mobius Systems Foundation.
Mandate¶
Guard the Foundation's integrity principles:
- Charter Compliance - Ensure all decisions align with Foundation Charter
- Ethical Oversight - Enforce Ethical License Addendum
- Anti-Capture - Monitor and prevent concentration of power
- Community Stewardship - Represent diverse stakeholder interests
Composition¶
7 Seats (odd number prevents ties):

Responsibilities¶
Policy & Ethics¶
- Review RFCs for Charter/ethical compliance
- Approve changes to Code of Conduct
- Enforce Ethical License Addendum
- Investigate reported violations
Anti-Capture Monitoring¶
- Review quarterly concentration metrics
- Trigger hard fork if thresholds exceeded
- Approve whale limit exceptions (none granted to date)
- Monitor vendor influence
Community Oversight¶
- Publish transparency reports (quarterly)
- Hold open office hours (monthly)
- Respond to community concerns
- Facilitate conflict resolution
Strategic Guidance¶
- Long-term vision and roadmap input
- Partnership/affiliation approval
- Budget oversight (with TSC)
- Foundation officer selection (with TSC)
Decision Process¶
Voting¶
- Quorum: 5 of 7 members
- Standard: Simple majority (4 votes)
- Charter changes: ⅔ majority (5 votes)
- Hard fork trigger: ⅔ majority (5 votes)
Veto Power¶
Council may veto any decision that: - Violates the Charter - Undermines anti-capture protections - Breaches Ethical Addendum - Concentrates power improperly
Veto requires ⅔ vote and written rationale published within 48 hours.
Meetings¶
Regular¶
- Frequency: Monthly (first Tuesday, 17:00 UTC)
- Format: Video call + IRC backchannel
- Agenda: Published 7 days prior
- Notes: Published within 7 days after
Emergency¶
- Trigger: Security issue, ethical violation, capture threat
- Notice: 48 hours minimum
- Quorum: 5 of 7
- Rationale: Published when safe to disclose
Transparency¶
Public by Default¶
- Meeting agendas and notes
- Vote records with rationale
- Policy enforcement actions (anonymized if needed)
- Quarterly transparency reports
Private Exceptions¶
- Security vulnerabilities (pre-disclosure)
- Legal proceedings
- Harassment reports
- Competitive-sensitive discussions (rare)
All private sessions logged and disclosed when no longer sensitive.
Term Limits¶
- Maximum: 2 consecutive 2-year terms (4 years)
- Cooling-off: 1 term (2 years) before re-eligibility
- No lifetime limits: Can return after cooling-off
Conflict of Interest¶
Council members must disclose: - Employment by organizations using Mobius - Consulting/advisory roles related to AI governance - Financial interests in competing projects - Personal relationships with TSC members
Recusal required for votes where conflict exists.
Removal¶
A Council member may be removed by: - ⅔ vote of remaining Council members, OR - Unanimous vote of TSC - Automatic after missing 3 consecutive meetings
Reasons: - Code of Conduct violations - Conflict of interest violations - Prolonged inactivity - Capture attempts
